Important

Please read these Terms before bidding or listing.

Bids can create binding obligations. Sellers must have the right and practical ability to transfer everything they say is included. Buyers remain responsible for their own due diligence.

AuctionMySite is a marketplace and transaction-management platform. It is not the buyer, seller, legal adviser, investment adviser or independent escrow provider.

1. About AuctionMySite

AuctionMySite is a marketplace for genuine operating websites and online businesses. It is not intended for shares, securities, investments, domain-only sales, social-media-only accounts, unfinished projects or assets that cannot lawfully be transferred.

AuctionMySite provides marketplace, auction, verification, messaging, due-diligence and transaction-management tools. Unless expressly stated otherwise, AuctionMySite does not buy the business from the seller, resell it to the buyer, take ownership of listed assets or hold the main purchase price.

AuctionMySite is operated by Auction My Limited, a private limited company registered in England and Wales under company number 17473925. Its registered office is 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom.

2. Scope of these Terms

These Terms apply to registered users and, where relevant, visitors using AuctionMySite features. Additional rules, transaction instructions, payment-provider terms, verification-provider terms and escrow-provider terms may also apply to particular services.

If a buyer and seller enter into a separate written asset-sale agreement, that agreement governs the transfer obligations between those parties to the extent it addresses matters not governed by these Terms. These Terms continue to govern each user's relationship with AuctionMySite, including marketplace rules, platform fees, account conduct and enforcement.

If there is a conflict between these Terms and a separate provider's terms, each set of terms governs the service supplied by the relevant provider unless the law requires otherwise.

3. Age, accounts, identity and eligibility

A user must be at least 18 years old and have legal capacity to enter into the obligations they undertake on AuctionMySite. A person acting for a company or other organisation must have authority to bind or act for that organisation.

Users must provide accurate account information, keep it up to date and keep login credentials secure. Accounts must not be transferred, shared deceptively or used to impersonate another person or organisation.

AuctionMySite may require email verification, identity verification, country information, seller verification, business verification, payment-method checks, re-authentication or other proportionate checks appropriate to the activity being carried out.

Buyers must satisfy the bidding-readiness requirements shown by AuctionMySite before a bid can be accepted. Sellers may be required to complete seller setup, verification and payment readiness before a listing can be approved or published.

4. Seller warranties and continuing obligations

By submitting a listing, the seller confirms that they have the legal right, authority and practical ability to sell and transfer the website and every asset described as included.

The seller must ensure that listing information is accurate, complete in all material respects, not misleading and kept current. The seller must disclose material risks, dependencies, restrictions, disputes, claims, platform dependencies, licence limitations and other matters that a reasonable buyer would need to assess the transaction.

The seller must have the rights necessary to transfer or licence, as applicable, the domain, website code, content, databases, trademarks, intellectual property, software, accounts and other assets identified as included. An asset must not be described as transferable if its provider terms, law or third-party rights prevent transfer.

The seller must promptly tell AuctionMySite and, where appropriate, the buyer of any material change occurring after submission and before completion, including material changes to traffic, revenue, ownership, security, legal disputes, platform access or the availability of included assets.

The seller remains responsible for information and evidence supplied by them or on their behalf even where AuctionMySite has reviewed or displayed a verification status.

5. Listing review, approval and publication

Submitting a listing does not create a right to publication. AuctionMySite may request clarification or evidence and may approve, reject, return, pause or withdraw a listing where reasonably necessary to enforce these Terms, protect users or preserve marketplace integrity.

Seller approval and listing approval are separate from publication. A listing becomes publicly available only when the platform places it into the appropriate live state.

AuctionMySite may refuse a listing where ownership is unclear, evidence is materially weak, claims conflict with available information, required assets appear non-transferable, the business falls outside marketplace scope or publication would create a material legal, security or integrity risk.

6. Verification

Verification is claim-specific. A badge or verification status means only that the stated check was completed using the evidence and information available at the recorded time.

Verification does not guarantee future traffic, revenue, profit, legal compliance, ownership of every asset, transferability, business quality, cybersecurity, absence of liabilities or suitability for a particular buyer.

Verification may expire or require refreshing. AuctionMySite may withdraw, amend or mark a verification status as stale where evidence is no longer current, a material change occurs or new information creates a reasonable concern.

7. Auctions and binding bids

A valid bid is binding on the bidder. A buyer must not bid unless they are willing and able to progress the purchase at that amount if they become the winning bidder, subject only to the due-diligence and completion rights expressly provided by the transaction process and applicable law.

AuctionMySite may apply minimum bid increments. The first valid bid must satisfy any stated starting-price requirement, and later bids must meet the minimum next bid displayed by the platform.

Auctions use a soft-close system. A valid bid placed near the scheduled end may extend the closing time, and repeated late bids may cause further extensions.

Buyers have no general right to withdraw a valid bid. AuctionMySite may cancel or disregard a bid exceptionally where there is reasonable evidence of fraud, manipulation, duplicate submission, obvious input error, unauthorised account use, technical malfunction or another serious marketplace-integrity issue. Any such action may be recorded in the audit trail.

A seller must not bid on their own listing directly or indirectly, encourage artificial bidding, coordinate bids to distort price discovery or use another account or person to manipulate an auction.

8. Reserve price and Buy Now

A seller may set a hidden reserve price. Where a reserve applies, the listing may show whether the reserve has been met without displaying the reserve amount.

If an auction ends without the reserve being met, the seller is not obliged by the auction result alone to sell to the highest bidder. Any later second-chance or negotiated transaction must follow the process made available by AuctionMySite.

A Buy Now option may be offered where enabled for the listing. Unless the listing process states otherwise, Buy Now is available only before the first valid bid, disappears after a valid bid is placed and ends the auction immediately when validly exercised.

9. Auction integrity, outages and obvious errors

AuctionMySite may pause, extend, correct, cancel or restart an auction where reasonably necessary because of a material platform outage, security incident, corrupted auction state, duplicate or invalid bids, material listing error, fraud, manipulation or another event that makes the recorded result unreliable.

AuctionMySite will not alter an auction result merely because a buyer or seller dislikes the price reached. Any intervention must be based on a genuine operational, legal, security or marketplace-integrity reason and may be recorded in the audit trail.

If a displayed price, timer or status is obviously wrong because of a technical or data error, AuctionMySite may correct the error and take reasonable steps to restore the position that would likely have applied had the error not occurred.

10. Winning bidder and transaction formation

When an auction closes with the reserve met and a valid winning bid, or when a valid Buy Now is completed, the buyer and seller are expected to enter and progress the AuctionMySite completion process in good faith.

The winning bid fixes the headline purchase price subject to any lawful adjustment agreed in writing as part of resolving a verified material due-diligence issue. It does not mean that AuctionMySite guarantees the assets, claims or future performance of the business.

AuctionMySite may create an immutable or protected transaction record containing the parties, website, final price, currency, reserve status, included assets, verification states, relevant deadlines, fee information and the Terms version applying to the transaction.

The parties may be required to enter provider instructions or a separate asset-sale agreement before funds or assets are transferred. Those documents do not remove obligations already owed to AuctionMySite under these Terms.

11. Buyer deposit and buyer default

A winning bidder may be required to pay a buyer deposit through the payment provider within the amount and deadline shown in the transaction process. Registering a payment method does not itself make a charge.

Before a deposit is taken, the platform will show the amount or basis of calculation and any material conditions applying to it. The treatment of the deposit will follow the disclosed transaction process, applicable law and any relevant payment or escrow-provider terms.

Failure to pay a required deposit, fund the purchase when due, provide required verification or otherwise progress the transaction without a valid contractual or legal reason may be treated as buyer default.

Buyer default may result in transaction cancellation, account restrictions, suspension, exclusion, loss of access to confidential material, recovery of amounts lawfully due or other proportionate action permitted by these Terms and applicable law.

AuctionMySite is not required to award the transaction to the runner-up bidder following buyer default. Any second-chance process is discretionary and controlled by AuctionMySite; the seller is not automatically required to sell to the runner-up.

12. Due diligence

A winning bid begins the completion process; it does not replace due diligence. The buyer remains responsible for assessing the business, assets, legal position, transferability, financial information, traffic, dependencies and seller claims before completion.

Unless the transaction process states otherwise, the standard due-diligence period is seven days. It may be extended by written agreement of the parties or where AuctionMySite reasonably considers additional time appropriate to resolve a genuine material issue.

Due diligence is intended to test material claims and transaction risks. It is not a free option to abandon a transaction because of buyer's remorse, a change in financing preference or a reason unrelated to a material issue with the listing, assets or transaction.

If the buyer identifies a material discrepancy, the buyer should raise it promptly through the transaction process and provide enough information to allow the seller and AuctionMySite to understand the issue. AuctionMySite may record the parties' positions and evidence but does not act as a court or guarantee a particular outcome.

13. Escrow and completion

The main website-sale purchase price is intended to be handled through an independent third-party escrow provider. The escrow provider's own terms, identity checks, funding rules, inspection periods, release conditions, dispute procedures and charges will apply.

AuctionMySite does not hold the main purchase price and must not be treated as the escrow provider, trustee, bank or custodian of the main transaction funds.

Buyer and seller are responsible for completing the agreed transfer of the domain, website code and files, hosting where transferable, databases, content, intellectual property, analytics, platform accounts, supplier information, social accounts and other included assets in accordance with the transaction record, provider rules and applicable law.

Completion occurs only when the completion conditions required by the transaction process have been satisfied and the transaction has been recorded as completed. Release of escrow funds may depend on the independent escrow provider's own rules.

14. Seller withdrawal and seller default

A draft listing may be withdrawn before publication. An approved but not-yet-live listing may be cancelled subject to any operational restrictions shown by the platform.

Once an auction is live, withdrawal may be restricted. A live listing with no bids may require a reason. A live listing with one or more valid bids may require AuctionMySite approval before it can be withdrawn.

Where the reserve has been met or a valid Buy Now has been exercised, the seller is expected to proceed with the transaction unless there is a valid contractual or legal reason not to do so.

An unjustified seller refusal or failure to complete may result in cancellation, suspension, exclusion, restrictions on relisting the same website, recovery of amounts lawfully due or other proportionate enforcement action. A buyer should not bear seller-default costs where the seller is responsible for the unjustified failure to complete.

15. AuctionMySite fees

Creating an AuctionMySite account is free. AuctionMySite may charge marketplace fees that are disclosed before the relevant paid action or before a listing is published.

The current seller success fee is 6% of the final sale price, subject to a minimum fee of £99 for GBP auctions, €116 for EUR auctions and $133 for USD auctions.

The seller success fee becomes due only when the transaction has successfully completed and AuctionMySite has recorded that the independent escrow provider has released the main purchase balance. The success fee is not due merely because an auction ends, the reserve is met, a buyer deposit is paid or independent escrow is funded.

By registering a payment method, a user authorises AuctionMySite and its payment processor to use that saved payment method for amounts that properly become due under these Terms, including a winning-bidder deposit or seller success fee where applicable. Registering a payment method does not itself make a charge. Authentication, card-issuer or payment-provider requirements may still apply.

Provider charges, escrow fees, payment-processing costs, taxes and other third-party costs may apply separately. The seller and buyer remain responsible for their own tax position and should obtain professional advice where needed.

The current public fee schedule is available on the Fees page.

16. Confidential listings and data rooms

A confidential listing may hide the domain name and other identifying details from public pages. Further information may be limited to verified buyers and may require seller approval.

Confidential information may be used only to evaluate or progress the relevant transaction. A recipient must not copy, scrape, publish, redistribute, exploit or disclose it except to professional advisers or other persons who genuinely need it for the transaction and are subject to appropriate confidentiality obligations.

Confidentiality obligations do not apply to information that the recipient can demonstrate was already lawfully known without restriction, becomes public through no breach by the recipient, is lawfully received from an independent third party, or must be disclosed by law or a competent authority.

If access is withdrawn or the transaction ends, the recipient must stop using confidential information and, where reasonably requested and lawful, delete or return downloaded confidential material that is not required to be retained for legal, regulatory or professional-record purposes.

These confidentiality obligations continue after access is withdrawn and after a transaction ends for so long as the information remains confidential.

17. Customer data, personal data and transferable records

A seller must not state or imply that customer lists, email databases, user accounts or other personal data are freely transferable merely because they are technically accessible. Their transfer and later use must have a lawful basis and comply with applicable data-protection, privacy, marketing and contractual requirements.

Buyer and seller are independently responsible for assessing their legal obligations in relation to personal data included in or connected with a transaction. AuctionMySite does not provide legal approval for a proposed transfer of customer or user data.

Where personal data cannot lawfully be transferred, the seller must not describe it as an included transferable asset.

18. Off-platform circumvention

Users must not use AuctionMySite to identify or engage a buyer or seller and then deliberately move the same transaction off-platform in order to avoid marketplace rules, fees, verification, audit records or transaction safeguards.

Users must not include disguised contact details, alternative payment instructions or links intended to defeat confidential access controls or bypass the AuctionMySite transaction process.

Serious or repeated circumvention may result in account restrictions, suspension, exclusion or recovery of fees or losses where legally enforceable.

19. Prohibited listings and conduct

AuctionMySite may reject or remove listings involving illegal content, stolen or disputed assets, malware, phishing, counterfeit goods, prohibited financial products, unlawful adult content, unclear ownership, non-transferable assets, materially weak evidence or misleading business models.

Users must not manipulate auctions, impersonate another person, submit fraudulent or altered evidence, misuse confidential information, scrape protected data, interfere with the platform, introduce malicious code, evade security controls, harass other users or use AuctionMySite unlawfully.

Users must not use AuctionMySite to facilitate money laundering, sanctions evasion, fraud, tax evasion or another unlawful transaction.

20. Messaging, records and marketplace administration

Marketplace messages, access requests, reports, bid events, moderation decisions and transaction actions may be logged to support security, dispute handling, rule enforcement and an audit trail.

AuctionMySite may review marketplace communications and transaction records where reasonably necessary for moderation, fraud prevention, dispute handling, support, security or legal compliance, subject to the Privacy Notice.

AuctionMySite may review evidence, pause a listing or transaction, record the parties' positions and enforce marketplace rules. AuctionMySite is not a court and does not replace either party's legal remedies.

21. Reviews and moderation

Following completion, AuctionMySite may allow one review from each side of a transaction. Reviews must reflect genuine experience and must not contain threats, unlawful material, fabricated allegations, personal data published without justification or other serious abuse.

AuctionMySite may moderate or remove content where reasonably necessary to enforce these rules or comply with law. A negative review will not be removed merely because a user offers to pay for its removal.

22. User content and intellectual property

Users retain ownership of content they own. By uploading or submitting listing text, images, documents or other material, the user grants AuctionMySite a non-exclusive, worldwide, royalty-free licence for the period reasonably necessary to host, reproduce, format, display, secure, review, moderate and administer that material for the operation, promotion and record-keeping of the marketplace.

The user confirms that they have the rights necessary to provide that material and that AuctionMySite's permitted use of it will not knowingly infringe another person's rights.

AuctionMySite may retain a limited sold or completed listing history, transaction record or audit record after completion where reasonably necessary for marketplace history, legal, tax, fraud-prevention, dispute or audit purposes. Confidential details remain subject to the applicable access controls and privacy rules.

AuctionMySite branding, software, design, databases and platform content are protected by applicable intellectual property rights and may not be copied or exploited except as allowed by law or with permission.

23. Third-party services

AuctionMySite may integrate services supplied by third parties, including identity verification, address lookup, payment processing, authentication, hosting, email, analytics where enabled, and independent escrow.

A third-party provider may impose its own eligibility rules, terms, privacy information, fees or technical requirements. AuctionMySite is not responsible for a provider's independent decision to reject, delay or restrict a service where that decision is outside AuctionMySite's reasonable control.

Nothing in this clause removes any responsibility that AuctionMySite cannot lawfully exclude for its own acts or omissions.

24. Suspension, restriction and account closure

AuctionMySite may restrict specific features, suspend or close an account where reasonably necessary for security, suspected fraud, sanctions or legal compliance, serious or repeated rule breaches, unpaid amounts, manipulation, misuse of confidential information or protection of users and marketplace integrity.

Where appropriate and lawful, AuctionMySite may give the user an opportunity to explain or remedy the issue. Immediate restriction may be used where delay would create a material security, fraud, legal or marketplace risk.

Account closure does not cancel completed or existing transaction obligations, unpaid fees, confidentiality duties, dispute records or other provisions that by their nature should continue after closure.

25. Availability, changes and events outside reasonable control

AuctionMySite may change, maintain, suspend or discontinue features where reasonably necessary. No online service can guarantee uninterrupted or error-free availability.

AuctionMySite is not responsible for delay or failure caused by events outside its reasonable control, including major internet or cloud outages, payment or escrow-provider failures, cyberattacks despite reasonable security measures, power failures, government action or other comparable events. This does not excuse AuctionMySite from taking reasonable steps within its control to reduce disruption.

Where a substantive change to these Terms requires renewed acceptance, AuctionMySite may require a user to accept the new version before carrying out restricted actions such as bidding, publishing a listing or progressing a transaction.

26. Consumer users and statutory rights

Some users may legally be consumers even though AuctionMySite primarily concerns websites and online businesses. If you are acting wholly or mainly outside your trade, business, craft or profession, mandatory consumer rights may apply to your contract with AuctionMySite.

Nothing in these Terms removes or restricts rights or remedies that cannot lawfully be excluded. If the law gives a consumer a cooling-off or cancellation right in relation to an AuctionMySite service, AuctionMySite will provide the information and process required by law.

Where a consumer asks AuctionMySite to begin providing a paid service during a statutory cancellation period, AuctionMySite may require any express request, acknowledgement or other confirmation required by law before doing so.

27. Liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

AuctionMySite does not guarantee that a listed business will achieve future traffic, revenue, profit or growth; that every seller statement is correct; that every asset is transferable; that a buyer or seller will complete; or that a third-party provider will accept or perform a service.

AuctionMySite is not responsible for a user's independent commercial decision to buy, sell or value a website, or for losses caused by inaccurate information supplied by another user except to the extent AuctionMySite is legally responsible for its own acts or omissions.

For Business Users only: subject to the liabilities that cannot lawfully be limited, AuctionMySite is not liable for indirect or consequential loss, or for loss of profit, revenue, anticipated savings, goodwill or business opportunity arising from use of the marketplace. Subject to applicable law, AuctionMySite's aggregate liability to a Business User arising out of or in connection with these Terms in any 12-month period is limited to the greater of £5,000 and the total AuctionMySite fees paid or payable by that Business User during the 12 months preceding the event giving rise to the claim.

The Business User limitation above does not apply to a user to the extent that the user is legally a consumer and the limitation would reduce mandatory consumer rights.

28. Business-user indemnity

This clause applies only where the user is acting in the course of a trade, business, craft or profession.

A Business User is responsible for reasonable third-party claims, losses and costs suffered by AuctionMySite to the extent directly caused by that Business User's fraud, deliberate unlawful conduct, material breach of these Terms, infringement of third-party intellectual property rights, or unlawful disclosure or transfer of personal or confidential information.

This clause does not require a Business User to indemnify AuctionMySite for loss caused by AuctionMySite's own negligence, breach of these Terms or unlawful conduct.

29. Privacy and cookies

Personal information is handled as described in the Privacy Notice. Accepting these Terms does not amount to consent to every possible use of personal information.

AuctionMySite may use cookies or similar technologies as described in its Cookie Policy. Where consent is legally required for a non-essential cookie or similar technology, AuctionMySite will seek that consent separately rather than treating acceptance of these Terms as cookie consent.

30. Notices and communications

AuctionMySite may send account, security, verification, listing, bidding, transaction and legal notices to the email address associated with the user's account or through notices displayed in the account or transaction area.

Users are responsible for keeping their email address current and for checking important transaction communications. Marketing communications are handled separately from necessary service and legal messages.

31. General legal provisions

If any provision of these Terms is found unlawful, unenforceable or invalid, the remaining provisions continue in effect to the extent legally possible.

A failure or delay by AuctionMySite to enforce a provision does not waive the right to enforce it later. A waiver on one occasion does not create a continuing waiver.

A user may not assign or transfer an account or obligations under these Terms without AuctionMySite's written consent where consent is reasonably required. AuctionMySite may transfer its rights and obligations as part of a genuine corporate reorganisation, sale of the platform or transfer of the operating business, provided that mandatory user rights are not reduced.

Except where the law provides otherwise, a person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce them.

Provisions concerning fees, confidentiality, intellectual property, transaction records, disputes, liability, indemnity and any other provision intended by its nature to continue will survive account closure or completion where appropriate.

These Terms, together with any incorporated transaction rules and the documents expressly stated to govern a particular AuctionMySite service, form the agreement between the user and AuctionMySite concerning that service. They do not replace a separate buyer-seller asset-sale agreement where one is used.

32. Governing law and courts

These Terms and non-contractual disputes connected with them are governed by the laws of England and Wales.

If you are a Business User, the courts of England and Wales have exclusive jurisdiction, subject to any different jurisdiction that the parties expressly agree in a separate written transaction agreement.

If you are legally a consumer, this clause does not remove any mandatory right you may have to rely on the law or courts of another part of the United Kingdom or another jurisdiction where applicable consumer law gives you that right.

33. Contact

Questions about these Terms, a transaction or a legal notice can be sent through the AuctionMySite contact page.
